These Terms of Service govern your use of imranweaving.com and, together with our written quotation and order acknowledgement, the sale of goods by Imran Weaving. By using this website or placing an order you accept these terms. If you are agreeing on behalf of a company, you confirm you are authorised to do so.

1. Use of this website

The website is provided for business information. You may view, download and print pages for your own commercial evaluation. You may not scrape, republish, resell or misrepresent our content, attempt to interfere with the site's operation, or use it in a way that breaches any law.

2. Intellectual property

All text, photography, fabric designs, technical drawings, the Imran Weaving name and the mark used on this site belong to Imran Weaving or its licensors. Weave structures and colourways developed exclusively for a customer, and paid for as development work, remain the customer's property; nothing else transfers.

3. Quotations and orders

Prices published or quoted are wholesale, in U.S. dollars, exclusive of freight and taxes.
Quotations are valid for 30 days unless stated otherwise, and are subject to yarn availability and loom capacity at the time of acceptance.
A contract is formed when we issue a written order acknowledgement, not when you submit a form on this site.
Minimums are 60 yards per colour on stocked constructions and 500 yards where development is required.
Because cloth is woven in continuous runs, we ship the ordered quantity within a tolerance of +5% / −3%, and invoice the quantity actually shipped.

4. Specifications, samples and colour

Hand samples and shade cards indicate the character of a construction. Woven textiles are natural products: slight variation in shade, hand and surface between lots is inherent and is not a defect. The signed strike-off or approved standard, assessed under D65 lighting, is the reference for shade; a grade of 4 or better on the gray scale is acceptable commercial quality.

5. Lead times

Lead times quoted are working estimates based on the loom schedule at the time of acknowledgement. We will tell you promptly if a date is at risk. Time is not of the essence unless we have agreed a firm date in writing, and we are not liable for delay caused by events outside our reasonable control, including yarn supply failure, utility interruption, severe weather or carrier disruption.

6. Payment

First orders are prepaid. Approved accounts are Net 30 from invoice date. Overdue balances may attract interest at 1.5% per month or the maximum permitted by Montana law, whichever is lower, and we may suspend production on open orders while an account is past due. Title to goods passes on full payment; risk passes on delivery to the carrier.

7. Delivery, inspection and claims

Goods ship FOB our facility in Helena, Montana, unless agreed otherwise. You should inspect goods on arrival. Claims for shortage, visible damage or non-conformity must be made in writing within 30 days of delivery and before the goods are cut, with roll and lot numbers, photographs and a 12-inch cutting. 8. Warranty and limitation of liability

We warrant that goods will conform to the agreed written specification and will be free from manufacturing defects when inspected under the four-point system. This warranty is exclusive and replaces all other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. Determining that a fabric is suitable for your end use, application, cleaning regime and regulatory environment is your responsibility.

Our total liability arising out of any order is limited to the invoiced value of the goods giving rise to the claim, at our option by replacement or credit. We are not liable for indirect, incidental or consequential loss, including lost profit, labour cost for cutting or sewing non-conforming fabric, installation cost, or downstream customer claims.

9. Cancellation and changes

Orders may be cancelled without charge before the warp is prepared. After warping begins, cancellation is subject to the costs already incurred, including yarn purchased specifically for the order. Custom-coloured and custom-developed goods are non-cancellable and non-returnable once dyeing has started.

10. Compliance and end use

You are responsible for confirming that a fabric meets the codes and standards applying to your product and market, including flammability requirements for the jurisdiction of installation. We will provide test data we hold and arrange additional accredited testing at cost.

11. Governing law and disputes

These terms are governed by the laws of the State of Montana, without regard to conflict-of-law rules. The parties will attempt in good faith to resolve any dispute by discussion between principals before commencing proceedings. The state and federal courts located in Lewis and Clark County, Montana have exclusive jurisdiction.

12. General

If any provision is held unenforceable, the rest continues in force. Our failure to enforce a term is not a waiver of it. These terms, our quotation and our order acknowledgement are the entire agreement between us and supersede any purchase-order terms to the contrary. We may update these terms; the version in force is the one published on the date your order is acknowledged.
